1. Agreement & Acceptance By using OpsIQ, you accept these Terms. If you do not agree, do not access the Service. A signed Order takes precedence over these Terms.

2. Definitions Key terms include:

  • Service: The OpsIQ platform and its modules.
  • Cloud/SaaS: The hosted version accessed over the internet.
  • Self-Hosted: Software installed on your infrastructure.
  • Customer Data: Data submitted or generated by you or your users.
  • End-User: Individuals interacting with the Service.

3. Eligibility & Accounts You must be 18+ and use OpsIQ for business. You are responsible for your account and must notify us of unauthorized use.

4. Licence Grant & Restrictions OpsIQ is licensed, not sold. You receive a limited right to use the Service. You may not resell or modify the software without permission.

5. Customer Data & Ownership You own your Customer Data. OpsIQ processes it only to provide the Service. You are responsible for the legality of your data.

6. Your Responsibilities & Your End-Users You are accountable for your use of the Service and must comply with laws regarding data protection and privacy.

7. AI Features & Model Providers AI Output may be inaccurate. Review it before use. You choose your model provider; we do not train on your data.

8. Acceptable Use You must comply with our Acceptable Use Policy, prohibiting illegal content and misuse of the Service.

9. Plans, Trials, Billing & Taxes Paid plans auto-renew. Fees exclude taxes, and you are responsible for applicable taxes.

10. Auto-renewal & Cancellation Subscriptions renew automatically unless cancelled. You can cancel anytime.

11. Refunds Refunds are governed by our Refund & Cancellation Policy.

12. Third-party Services & Connectors Integrations are subject to third-party terms. You are responsible for their use.

13. Intellectual Property OpsIQ retains all rights to its software and IP. Feedback you provide may be used freely.

14. Confidentiality Both parties must protect each other's confidential information.

15. Warranties & Disclaimers The Service is provided "as is" without warranties. We do not guarantee uninterrupted service.

16. Limitation of Liability Our liability is limited to the fees paid in the last 12 months, excluding indirect damages.

17. Indemnification You will indemnify OpsIQ against claims arising from your data or misuse of the Service.

18. Term, Suspension & Termination Either party can terminate for material breach. We may suspend access for violations.

19. Service Changes & Availability We may change or discontinue services at our discretion.

20. Data Protection We comply with applicable data protection laws.

21. Governing Law & Disputes These Terms are governed by the laws of England & Wales.

22. Force Majeure Neither party is liable for delays due to circumstances beyond their control.

23. Changes to These Terms We may update these Terms with notice.
